Acceptance of Terms

By accessing or using Stover's websites, products, or services (collectively, the "Services"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you may not access or use the Services.

These Terms constitute a legally binding agreement between you and Stover. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and in such case, "you" and "your" will refer to that organization.

Use of Services

Subject to your compliance with these Terms, Stover grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes.

Restrictions on Use

  • You agree not to:
  • Use the Services in any way that violates any applicable law or regulation;
  • Use the Services to transmit, distribute, store, or destroy material in violation of any applicable law or regulation;
  • Use the Services in any manner that could damage, disable, overburden, or impair our servers or networks;
  • Attempt to gain unauthorized access to any portion of the Services or any other accounts, computer systems, or networks connected to the Services;
  • Use any robot, spider, or other automatic device or process to monitor or copy any portion of the Services without our prior written permission;
  • Interfere with or disrupt the Services or servers or networks connected to the Services;
  • Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Services without our express written permission;
  • Use the Services to store or transmit any viruses, worms, time bombs, Trojan horses, or other harmful or malicious code, files, scripts, agents, or programs.

Acceptable Use

  • You are responsible for all activities that occur under your account. You agree to:
  • Provide accurate, current, and complete information when creating an account;
  • Maintain and promptly update your account information;
  • Maintain the security of your account credentials;
  • Notify us immediately of any unauthorized use of your account;
  • Use the Services only for lawful purposes and in accordance with these Terms.

User Accounts

  • To access certain features of the Services, you may be required to create an account. When you create an account, you agree to:
  • Provide accurate, current, and complete information;
  • Maintain and promptly update your account information;
  • Maintain the security of your password and identification;
  • Accept responsibility for all activities that occur under your account;
  • Notify us immediately of any unauthorized use of your account or any other breach of security.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Stover is not liable for any loss or damage arising from your failure to comply with this section.

Intellectual Property

The Services and their original content, features, and functionality are and will remain the exclusive property of Stover and its licensors. The Services are protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

Your Content

  • You retain ownership of any content you submit, post, or display on or through the Services ("Your Content"). By submitting, posting, or displaying Your Content, you grant Stover a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and display Your Content solely for the purpose of providing and improving the Services.
  • You represent and warrant that:
  • You own or have the necessary rights to Your Content;
  • Your Content does not violate any third-party rights, including intellectual property rights;
  • Your Content does not violate any applicable laws or regulations.

Feedback

If you provide us with any feedback, suggestions, or ideas about the Services ("Feedback"), you agree that Stover may use such Feedback for any purpose without compensation to you. You hereby assign to Stover all right, title, and interest in and to such Feedback.

Payment Terms

If you purchase a subscription to the Services, you agree to pay all fees associated with your subscription. Payment terms are as follows:

Billing

  • Subscription fees are billed in advance on a monthly or annual basis, depending on your selected plan;
  • All fees are non-refundable except as required by law or as otherwise stated in these Terms;
  • We reserve the right to change our pricing at any time, but we will notify you in advance of any price changes;
  • If you upgrade your plan, you will be charged the prorated difference immediately;
  • If you downgrade your plan, the change will take effect at the end of your current billing period.

Renewal and Cancellation

  • Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date;
  • You may cancel your subscription at any time through your account settings;
  • Cancellation will take effect at the end of your current billing period;
  • You will continue to have access to paid features until the end of your billing period after cancellation.

Failed Payments

If payment fails or is otherwise not received, we may suspend or terminate your access to the Services. You are responsible for maintaining valid payment information on file.

Termination

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Services will immediately cease. If you wish to terminate your account, you may simply discontinue using the Services or cancel your subscription through your account settings.

All provisions of these Terms that by their nature should survive termination shall survive termination, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Limitation of Liability

  • TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL STOVER, ITS AFFILIATES, AGENTS, DIRECTORS, EMPLOYEES, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICES.
  • TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STOVER ASSUMES NO LIABILITY OR RESPONSIBILITY FOR ANY:
  • ERRORS, MISTAKES, OR INACCURACIES OF CONTENT;
  • PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO OR USE OF THE SERVICES;
  • ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION STORED THEREIN;
  • ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICES;
  • ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE, WHICH MAY BE TRANSMITTED TO OR THROUGH THE SERVICES BY ANY THIRD PARTY;
  • ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE SERVICES.
  • IN NO EVENT SHALL STOVER'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT YOU PAID TO STOVER IN THE TWELVE (12) MONTHS PRIOR TO THE ACTION GIVING RISE TO THE LIABILITY.

  • THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
  • STOVER DOES NOT WARRANT THAT:
  • THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE;
  • THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE;
  • ANY ERRORS IN THE SERVICES WILL BE CORRECTED.
  • SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSION MAY NOT APPLY TO YOU.

Indemnification

  • You agree to defend, indemnify, and hold harmless Stover and its affiliates, agents, directors, employees, suppliers, and licensors from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable legal and accounting fees, arising out of or in any way connected with:
  • Your access to or use of the Services;
  • Your violation of these Terms;
  • Your violation of any third-party right, including without limitation any intellectual property right, publicity, confidentiality, property, or privacy right;
  • Any claim that Your Content caused damage to a third party.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts located in Los Angeles County, California.

Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Services.
